Adding ideas to your shopping cart You can select ideas you wish to buy by placing them in your shopping cart. To do so, click the shopping cart icon or the 'License now' link under the ideas in the Gallery. This will display the price calculator. Use this to calculate the price and set the licensing option before you place an idea in your shopping cart. You can also add the idea to your shopping cart while viewing it in the Gallery. Cart and payment overview The shopping cart serves as a tool for collecting and reviewing ideas you are interested in purchasing. You can arrange its contents prior to confirming your order: recalculate idea prices, retain certain ideas in the cart for later review, select ideas for immediate purchase or remove ideas from the cart. After confirming your order, you will be able to review it. Before proceeding to payment, you will have to indicate that you have read and agree to be bound by the terms and conditions of the Licence Agreement. Once you have done this, a proforma invoice will be displayed and you will be asked to select your payment method (credit card or bank transfer) and complete your order. You will receive email confirmation that your order has been received. After we receive confirmation of your payment, your ideas will be transferred from the Gallery to your 'My OpenAd' portfolio. Accessing your shopping cart You can view the contents of your shopping cart by navigating to 'Browsing the Gallery' and clicking the shopping cart icon in the top right-hand corner of the page. Ideas in your shopping cart always remain saved, but are still available for purchase by other Buyers. About My Shopping Cart My Shopping Cart allows you to view and arrange the contents of your shopping cart prior to confirming your order. In the shopping cart you can:

1. Recalculate the price for each of the ideas.
2. Retain certain ideas in the cart for later review
3. Select ideas for immediate purchase
4. Remove certain ideas

When you have finished arranging the contents of your shopping cart, you can proceed to confirm your order. Recalculating the price When you are completing your order in the shopping cart, you can set new parameters to recalculate the idea price. If the Creative has set their own price at which he is willing to sell the idea, you may only have the option of changing the licence term. You will need to click 'Update' after changing the information. If the Creative has chosen to use OpenAd.net's standard pricing system, then you may only select the territory of use. You will need to click 'Calculate' to see the new price, followed by selecting the licence term and clicking 'Update' to confirm the change. If you are a reseller, you will be able to change the size of your client's revenue, your client's name and your client's country of origin, as well as the territory of use and the licence term. You will need to click 'Update' after changing the information. Licensing Options Ideas may be licensed for use in a selected territory for 12 months (12-month licence) or in perpetuity (perpetual licence). The price of a perpetual licence is twice the price of a 12-month licence. All ideas are sold exclusively; they cannot be re-licensed by another Buyer. This means that even if the licence is not extended by the Buyer, the idea cannot be licensed by anyone else. 12-month licence By selecting a 12-month licence, you are granted exclusive rights to use an idea, in the markets you have previously selected, for a period of 12 months. If you still wish to use the idea after the expiry of the 12-month licence period, you must renew your licence for that idea. Please contact licence@openad.net if you wish to extend the use of the idea to new markets (i.e. besides those chosen by you when the idea was first licensed). Perpetual licence Licensing an idea in perpetuity gives you exclusive rights to use the idea in the markets you have previously selected for an unlimited period of time. Please contact licence@openad.net if you wish to extend the use of the idea to new markets (i.e. besides those chosen by you when the idea was first licensed). Buying ideas in cart immediately You must select the 'Buy now' option (by ticking the checkbox provided) for ideas you wish to buy immediately. The ideas you have not selected for immediate purchase always remain saved, but are still available for purchase by other Buyers. Removing ideas from the shopping cart By ticking the 'Remove' link next to an idea, you remove that idea from your shopping cart. Keeping ideas in the shopping cart If you are planning to buy some of the ideas in your cart at a later date, thus keeping these ideas in your cart, leave the 'Buy now' option that appears next to these ideas unticked. The contents of the shopping cart always remain saved for subsequent visits. However, the ideas that remain in your cart will still be available for purchase by other buyers. Confirming your order When you have selected all the ideas you wish to buy immediately ('Buy now') you can confirm your order and proceed to payment (click 'CONFIRM ORDER'). Reviewing your order After you have confirmed your order, it will be displayed for your review. At this point you should check the order carefully, as well as confirm that you agree to be bound by the terms and conditions of the Licence Agreement (see About licences and the Licence Agreement). You will have to read the entire Licence Agreement by scrolling the text in the provided text box to the end before being permitted to continue the procedure. About licences and the Licence Agreement You must indicate that you agree to be bound by the terms and conditions of the Licence Agreement every time you license an idea. Only after reading the entire Licence Agreement by scrolling the text in the provided text box to the end will you be permitted to continue the procedure. A Buyer may license an idea for any market (specific countries or regions) for either 12 months or in perpetuity to use in its advertising and communications or, where the Buyer is a reseller, for the purposes of the advertising and communications of the relevant client. All ideas are sold exclusively; they cannot be relicensed by another Buyer. This means that even if the licence is not extended by the Buyer, the idea cannot be licensed by anyone else. PERPETUAL LICENCE means acquisition of the exclusive right to use an idea for in perpetuity (i.e. for an unlimited period of time) for the territories specified. 12-MONTH LICENCE means acquisition of the rights to use an idea for a period of 12 months and for the territories specified. When the Buyer's licence to use the idea expires after the initial 12 months, they alone have the right to extend the licence for perpetual use. Licence Fees are calculated by reference to the annual revenue of the Buyer (or of the Buyer's client, where the Buyer is a reseller), the size of the chosen market, and the number and type of the elements within the idea. Licence Agreement keypoints These are the key points of the Licence Agreement. They are of an informative nature only. Please consult the full text of the agreement, which is a legally binding document and is subject to the law of England and Wales.

1. The Licence Agreement sets out, among other things, the terms on which OpenAd grants a licence to a Buyer to use creative material submitted by a seller, including such details as the duration of the licence term and the territory of use of the material.
2. Creative material will be delivered to a Buyer only after the Buyer has paid the licence fee in full. Payments must be made in US dollars, and may be made by bank cheque or electronic transfer. The Buyer must pay the licence fee within 15 days of accepting the Licence Agreement. Upon receipt of payment, OpenAd will supply the material to the Buyer in a format specified by OpenAd, and remove the product from the site.
3. OpenAd may use any material licensed to a Buyer during and after the licence term for its own promotion and marketing purposes.
4. Upon payment of the licence fee, the Buyer acquires rights in material for use in his advertising or communications (or those of a client if the Buyer is a reseller). A Buyer shall not receive any refund or compensation for not using the material during the licence term or for not using it in any part of the territory originally specified by him.
5. All negotiations relating to licences and licence terms must be conducted exclusively through OpenAd.net. A Buyer shall be subject to a variety of sanctions if he attempts to circumvent OpenAd.net in this regard.
6. If a Buyer wishes to extend a licence term, a further licence fee is payable. Extension must be negotiated with OpenAd, and the terms and conditions contained in the Licence Agreement must be accepted a second time by the Buyer.
7. The identity of a Creative may be disclosed to a Buyer if the work is licensed, unless the Creative has requested that it be withheld. However, the identity may be disclosed to the Buyer in the case of a copyright infringement claim or in the event of legal proceedings brought by OpenAd concerning the originality of material or the entitlement of the Creative to license it.
8. The Buyer agrees that his identity may be disclosed by OpenAd to the author upon payment of the licence fee by the Buyer.
9. If OpenAd suspects a copyright or other infringement in any creative material, it may disclose to the creative the computer records of Buyers who browsed the material before the infringement took place.
10. The Buyer acknowledges that OpenAd shall not be liable for any infringements of copyright or any other intellectual property rights in creative material.

Pro forma invoice and payment method Before proceeding to payment, a pro forma invoice will be displayed containing all the details of your order such as mailing information, idea information and price. At this stage you should select whether you wish to pay for ideas by credit card or bank transfer. Credit card payment is settled through the DataCash system. DataCash provides outsourced payment-processing solutions for the real-time authorisation and settlement of credit and debit cards, corporate purchasing cards, private label storecards, direct debits, direct credits and cheques. If you opt to pay by bank transfer, you will settle the amount owed to OpenAd's bank account. If you wish to change your billing/mailing information at this point, you should do this in 'My OpenAd'.
