1. The Licence Agreement sets out, among other things, the terms on which OpenAd grants a licence to a buyer to use creative material submitted by a seller, including such details as the duration of the licence term and the territory of use of the material.
2. Creative material will be delivered to a buyer only after the buyer has paid the licence fee in full. Payments must be made in US dollars, and may be made by bank cheque or electronic transfer. The buyer must pay the licence fee within 15 days of accepting the Licence Agreement. Upon receipt of payment, OpenAd will supply the material to the buyer in a format specified by OpenAd, and remove the product from the site.
3. OpenAd may use any material licensed to a buyer during and after the licence term for its own promotion and marketing purposes.
4. Upon payment of the licence fee, the buyer acquires rights in material for use in his advertising or communications (or those of a client if the buyer is a reseller). A buyer shall not receive any refund or compensation for not using the material during the licence term or for not using it in any part of the territory originally specified by him.
5. All negotiations relating to licences and licence terms must be conducted exclusively through OpenAd.net. A buyer shall be subject to a variety of sanctions if he attempts to circumvent OpenAd.net in this regard.
6. If a buyer wishes to extend a licence term, a further licence fee is payable. Extension must be negotiated with OpenAd, and the terms and conditions contained in the Licence Agreement must be re-accepted by the buyer.
7. The identity of an author of creative material may be disclosed to a buyer if the work is licensed, unless the author has requested that it be withheld. However, the author's identity may be disclosed to the buyer in the case of a copyright infringement claim or in the event of legal proceedings brought by OpenAd concerning the originality of material or the entitlement of the author to license it.
8. The buyer agrees that his identity may be disclosed by OpenAd to the author upon payment of the licence fee by the buyer.
9. If OpenAd suspects a copyright or other infringement in any creative material, it may disclose to the author the computer records of buyers who browsed the material before the infringement took place.
10. The buyer acknowledges that OpenAd shall not be liable for any infringements of copyright or any other intellectual property rights in creative material.
