  1. The Author Agreement deals with the assignment of your ideas to OpenAd, who will make every reasonable endeavour to license your ideas to buyers.

  2. The Assignment is an integral part of the Author Agreement and is the legally binding document by means of which you transfer (assign) the rights to your work to OpenAd.net under the conditions stated in that agreement and in the Author Agreement. Before any material can be considered for posting on OpenAd.net, you must print and sign two hard copies of the Assignment, and send them by post to: OpenAd UK Ltd, 8 Hanover St, London W1S 1YE, UK. You may submit ideas to the Gallery or in response to a pitch only after OpenAd has received both printed and signed copies of the Assignment.

  3. You must own and control the entire copyright in each and every idea submitted, including all copyright relating to design and layout.

  4. All ideas submitted to OpenAd.net are subject to our selection process. Ideas may be accepted or rejected at the sole discretion of OpenAd. Creative material may be copy edited for technical or grammatical errors and, if any substantial correction is required, sent back to you with suggestions for revision.

  5. Every idea, if accepted for posting on the site, will be assigned to OpenAd and offered exclusively on this site for 18 months. OpenAd reserves the right to an extended assignment upon payment of a fee. An extended assignment means the acquisition by OpenAd of the entire copyright in the idea in perpetuity.

  6. When an idea is first assigned to OpenAd, the copyright will belong solely to OpenAd for 18 months according to the terms agreed upon between you and OpenAd in the Author Agreement. If an idea is selected for extended assignment, OpenAd will pay the licence fee to you according to the terms agreed upon in the Author Agreement. Where a buyer chooses to extend the terms of a licence, a further amount (as negotiated and agreed by OpenAd) will be paid to the author.

  7. You may not allow any other use of the creative material once it has been posted on OpenAd.net.

  8. The author of a winning pitch entry may be awarded a prize, but there is no commitment on the part of the pitch holder to license any entry or the winning entry.

  9. Pitch entries that remain unlicensed for 30 days will be returned to the author. They may then be debranded by OpenAd or the author for subsequent posting in the Gallery.

  10. The identity of an author of creative material may be disclosed to a buyer if the work is licensed, unless the author has requested that it be withheld. However, the author's identity may be disclosed to the buyer in the case of a copyright infringement claim or in the event of legal proceedings brought by OpenAd concerning the originality of material or the entitlement of the author to license it.

  11. All negotiations relating to licences and licence terms must be conducted exclusively through OpenAd.net. A buyer shall be subject to a variety of sanctions if he attempts to circumvent OpenAd.net in this regard.

  12. This Author Agreement may be terminated by giving three months' notice in writing, but termination will not effect any licence already agreed.
